1. DEFINITIONS:

1.1. Within this Partner Agreement (“Agreement”), unless a different meaning is implied by context, the terms shall be interpreted under the definitions provided.

-"Affiliate Program" – a performance-based marketing program operated by KKaffs that enables approved Partners to earn commissions by referring new Clients to the Site through approved Web-Resources and in accordance with these Terms and Conditions.

  • "KKaffs" - the brand that operates the Affiliate Program, accessible at https://kkaffs.com, and utilizes affiliate marketing models to drive new user acquisition to the Site..

  • "Partner" – any individual or legal entity that owns or controls one or more online resources and participates in the Program with the aim of directing traffic to the Site.

  • "Partnership Application Form" – a form submitted by the Partner to confirm agreement with this Agreement and to officially join the KKaffs program.

  • "Site" – the platform (website or app) that displays the products and services subject to promotion within the scope of this Agreement.

  • "Web-Resource" – the online channel used by the Partner to generate traffic, as outlined in the Partnership Application Form.

  • "Advertising Materials" – a set of creatives such as banners, links, logos, images, text, and odds, provided by KKaffs to the Partner for use across their approved Web-Resources under this Agreement.

  • "Clients" – users have not previously registered an account on the Site and whose identifying information (such as email, phone number, IP address, or device ID) does not exist in KKaffs' database. A Client is deemed valid only if referred via the Partner’s Web-Resource, successfully registers, and completes a first deposit.

  • "Confidential Information" – any private information from KKaffs shared with the Partner that is not publicly available.

  • "Advertising Object" – a website, product, service, or social media group that is being advertised to attract new users. The goal is to gain attention through advertising.

  • "Offer" – a campaign brief from KKaffs outlining how they want their product or service to be promoted. It includes, but is not limited to, information on advertising objects, distribution methods for Advertising materials, content types, payment models, campaign duration, target locations, and other relevant factors influencing the Partner’s promotional work. Acceptance of an Offer constitutes the Partner’s agreement to perform promotional activities in accordance with its terms.

  • "Billing Model" – the method used to calculate the Partner’s payment for Advertising Services. This involves options like CPC (cost per click), CPI (cost per install), CPA (cost per action), revenue share, hybrid models, and other relevant formats used for partner compensation.

  • "Link" - a visual or text-based element that directs users to Advertising or other promotional content. These Links identify the Partner as part of the Affiliate Program and connect their Media to the relevant Advertising Object.

  • "Affiliate’s personal account" – a registered profile within our system through which the Partner can monitor income reports and manage their activities within the Affiliate Program. This account is available only to those who have formally agreed to the terms of the Affiliate Agreement.

2. GENERAL PROVISIONS:

2.1. By submitting the completed Partnership Application Form, the Partner confirms their full acceptance of these Terms and Conditions.

2.2. KKaffs reserves the right to amend, remove, or include any provisions of these Terms and Condiitons as it deems appropriate, without the obligation to justify. The Partner will be notified of material changes by email. Continued participation in the Program after such notification constitutes the Partner's acceptance of the updated Agreement.

2.3. The Affiliate's participation in the Program is subject to KKaffs prior approval. KKaffs reserves the right to accept or reject any Affiliate application at its sole discretion, without obligation to provide any reason.

3. USE OF THE AFFILIATE PROGRAM:

3.1. The KKaffs Affiliate Program enables approved Partners to promote designated Sites via their registered and approved Web-Resources in order to attract new users ("Clients").

3.2. As part of the program, KKaffs may provide the Partner with the following Advertising Materials for use: • banners, • links, • text content, • images, • logos, • Site odds (e.g., in XML format) • and other relevant promotional elements.

3.3 KKaffs reservs the right to update, replace, or limit the quantity of the Advertising Materials at any time.

4. PARTICIPATION AND TRACKING:

4.1. To participate in the KKaffs Affiliate Program, the Partner must submit a completed Partnership Application Form to KKaffs. If the application is approved, the Partner will receive a confirmation email acknowledging the Agreement's formation. KKaffs reserves the right to deny any application without explanation.

4.2. Upon approval, Partners may begin using their unique referral links to direct traffic to the promoted Sites. Clients acquired via such links will be automatically tracked using KKaffs’ internal affiliate tracking system.

4.3. Partners are granted a limited, non-exclusive, non-transferable, revocable license to use the provided Advertising Materials solely for the purposes of promoting the Sites in accordance with these Terms and Conditions. This license may be revoked by KKaffs at any time, with or without notice.

4.4. All intellectual property rights in the Advertising Materials and content on the Sites remain the exclusive property of KKaffs or its licensors.

4.5. If a Partner fails to refer any new Clients during any continuous 6-month period, KKaffs may, at its discretion, reduce that Partner’s commission rate. The original rate may be reinstated if the Partner refers at least 5 new Clients during a subsequent 6-month period.

5. PARTNER RESPONSIBILITIES

5.1. Participation in the Affiliate Program is permitted only for individuals and entities that meet the minimum legal age requirement in their jurisdiction (18 years or older, or as otherwise required by law), and who have full legal capacity to engage in such promotional activities.

5.2. The Partner is obligated to conduct all advertising of the Site independently and at their own expense. Such activities must strictly comply with applicable legislation and the provisions of this Agreement.

5.3. Only Advertising Materials issued by KKaffs may be used by the Partner. Changes to these Advertising Materials are not allowed without written consent, as accurate Client registrations and fee tracking depend on correct usage.

5.4. The Partner is solely responsible for creating, maintaining, and managing their Web-Resource and all associated content. The Partner guarantees that their Web-Resource does not contain, and will not contain, any illegal content, including but not limited to violence, pornography, racial or ethnic discrimination, promotion of drugs or alcohol, or other harmful activities.

5.5. The Partner is not permitted to design or modify their Web-Resource in a way that could cause confusion with the Site or imply any direct or indirect connection with the Site.

5.6. Use of the Site’s brand name, or any closely resembling version within the Partner’s Web-Resource domain, is strictly forbidden.

5.7. The Partner is not permitted to register themselves or any directly or indirectly affiliated individuals or entities as Clients under their referral link..

5.8. Fraudulent activity of any kind is strictly prohibited. This includes, but is not limited to, artificially generated traffic or conversions, incentivized actions, cashback traffic, spam, and misuse of CPA models (e.g., schemes commonly referred to as “cheating the casino” or “making money online”). Violations will result in forfeiture of all earnings and may lead to account termination.

5.9. At KKaffs’ request, the Partner must provide data on the traffic sources used within their Web-Resource.

5.10. The Partner must submit evidence, if requested by KKaffs, to confirm that they own or are authorized to manage the Web-Resource registered in their application.

5.11. The Partner must not use the following advertising formats without KKaffs' prior consent: • Spam via email, social media, or any other channel. • Paid ads that include the Site’s name or similar variations. • Traffic from clickunders or pop-unders. • Iframe traffic of any kind. The following actions are also strictly prohibited: • Misleading users or creating confusion. • Using cookie manipulation techniques. • Driving traffic from platforms aimed at minors or those that promote violence, discrimination, illegal content, or violate intellectual property laws.

5.12. Each Partner is permitted to maintain only one active account with KKaffs. Multiple or repeated registrations are not allowed.

5.13. KKaffs acknowledges that offers and advertisements related to gambling and wagering are subject to legal limitations and possible banning in many regions. The Partner must comply with all legal requirements in the country where their Web-Resource is based. If such promotions are prohibited or restricted by law, the Partner may not enter into this Agreement or display any Advertising Materials on their Web-Resource. KKaffs shall not be held liable for any adverse outcomes, which will remain the sole responsibility of the Partner.

5.14. Due to legal limitations, KKaffs allows user registration only from jurisdictions where such activity is permitted. The platform is intended exclusively for users residing in India and Bangladesh. KKaffs will not permit registration from restricted regions, including but not limited to the United States, the United Kingdom, France, and Curacao.

5.15. KKaffs undertakes to provide the Partner with access to all statistical data relevant for fee calculation, as well as reasonable support in conducting business activities and assistance in handling Client-related matters.

5.16. It is the Partner’s sole responsibility to protect their KKaffs account access details. KKaffs bears no responsibility for any unauthorized access or data loss caused by the Partner’s failure to secure this information.

5.17. Use of Advertising Materials for any activity outside the scope of this Agreement is not allowed. In particular, the Partner may not use them to attract Clients to third-party sites without prior approval from KKaffs.

5.18. In the event of a violation of the above terms, the Partner’s right to receive fees may be revoked, and their KKaffs account may be suspended or terminated without prior notice or explanation.

PRICE AND SETTLEMENT POLICY:

6.1. KKaffs pays the Partner a fee for each new Client acquired through the Partner’s Web-Resource, as defined in this Agreement.

6.2. The Partner’s final fee is determined based on the payment model individually agreed upon with KKaffs. The specific terms of calculation may vary depending on the model selected, such as revenue share, CPA, or hybrid options.

6.3. In cases where the Partner surpasses the agreed cap, KKaffs reserves the right, at its sole discretion, to withhold payment for the overage or adjust the calculated fee, provided that the Partner is notified in advance.

6.4. The Partner’s fees is calculated as a percentage of the net revenue generated from wagers placed by Clients directly referred to by the Partner.

6.5. A “new” Client is defined as a user who has no existing gaming account, visits the Site using the Web-Resource link provided by the Partner, successfully registers, and completes a deposit.

6.6. KKaffs reserves the right to modify the commission percentage and the method of fee calculation for referred Clients.

6.7. KKaffs may, at its discretion, allow the Partner to adopt an alternative fee model, including CPA. Acceptance of this new structure constitutes the Partner’s agreement to replace the previously applicable scheme in full. The Partner’s obligations under this Agreement will remain unchanged regardless of the commission model in use, unless or until the Agreement is terminated.

7. Commission Structure:

7.1. Commission rates and structures are set individually between KKaffs and each Partner.

7.2. KKaffs may revise commission terms at any time based on traffic quality, conversion rates, or other performance metrics.

8. PAYMENT TERMS:

8.1. Commissions are paid once per calendar month, provided the total payable balance exceeds €30. Balances below this threshold are carried over to the next month.

8.1.1. Partners are responsible for providing and maintaining accurate payment details. KKaffs is not liable for delays or failures resulting from outdated or incorrect information.

8.2. Negative balances from previous periods are automatically carried forward into subsequent calculations.

8.3. Payments are processed in USDT or EUR, using the average monthly exchange rate on the payment processing date..

8.4. Available payment methods include: • Bank transfer (EUR) • Crypto wallet (USDT)

8.5. If there is a mistake in the Partner’s fee calculation, KKaffs can fix it at any time. This may include paying any missing amount, asking the Partner to return extra funds, or adjusting future payments to correct the overpayment.

8.6. By accepting a payment, the Partner confirms full and final settlement of the fee for the relevant period.

8.7. If a Partner disagrees with the amount paid, a written objection must be submitted to [email protected] within 30 calendar days of receiving the fee statement. If no objection is raised within this period, the fee is deemed accepted.

8.8. KKaffs reserves the right to delay fee payments for up to 180 days to verify the accuracy of calculations and ensure compliance with this Agreement.

8.9. Payments will not be made if traffic to the Site results from illegal activities or violates any terms of this Agreement.

8.10. Any commission earned through fraudulent or invalid activity must be returned. The Partner is also liable for associated investigation and recovery costs.

8.11. The Partner is solely responsible for handling any taxes, duties, or charges related to their earnings, whether payable to local or international tax authorities or other relevant bodies.

8.12. The Partner must request the payout of earned fees within 12 months. If no request is made within this period, KKaffs reserves the right to withhold the unpaid amount.

9. Termination Conditions:

9.1. KKaffs may terminate a Partner’s account at any time under the following circumstances: • Mutual agreement between both parties. • Reasonable suspicion of breach of policy, fraud, or bad faith actions. • Compliance requirements with applicable laws, AML/KYC regulations, or updated internal policies.

9.2. KKaffs also reserves the right to unilaterally terminate any partnership if the Partner engages in conduct that may harm KKaffs, its partners, or affiliated brands.

9.3. Following termination, any final commission payments—excluding those linked to violations—will be settled within 90 days.

9.4. Upon termination, the Partner must immediately discontinue use of all KKaffs materials, including: • Tracking links • Banners • Logos • Any other promotional content

9.5. If the termination results from a violation related to the promotion of third-party services (e.g., Clause 5.17 of Terms and Conditions), the Partner must also cease promoting any associated resources.

9.6. KKaffs reserves the right to withhold part or all of the pending fees if necessary to recover losses caused by the Partner's actions.

10. Confidentiality Policy:

10.1. Partners are required to keep all confidential information received from KKaffs secure and may not disclose it to third parties without explicit written permission, except where disclosure is required by law.

11. PRIVACY and Data Tracking Policy

11.1. By registering with KKaffs, the Partner agrees to the terms of KKaffs’ Privacy Policy and consents to receive promotional communications, including newsletters and special offers. The Partner may revoke this consent at any time by clicking the “Unsubscribe” link included in promotional emails.

11.2. The Partner acknowledges that KKaffs uses a “Postclick” tracking period, during which cookies related to the Partner’s traffic are retained. After this period expires, the Partner’s tracking parameters will be deleted, and KKaffs will not be held responsible for any activity or attribution beyond that point.

12. Bonus and Incentive Offers Policy

12.1. KKaffs may, at its discretion, offer the Partner additional terms of cooperation, including but not limited to incentive-based bonuses tied to performance. The offers will be subject to the specific terms set by KKaffs and will become effective only once accepted by the Partner.

13. APPLICABLE LAW:

13.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
